Syllabus

The lecture focuses on contractual relations/obligation transactions. Different types of agreements are presented, for example: contracts of sale, contracts for work or services, contracts for construction (VOB), contracts for assets, leasing agreements and loan agreements. In context with contracts of sale the particularities of commercial sale and sale of consumer goods are pointed out. Also the central question of liabilities for agents is discussed. Contract Law is connected with special rights and duties – starting from the initiation of a business contact up to its end. . Instead of using dispositive law, contracts may be designed through individual agreements or general standard terms and conditions in favor of one party. Furthermore, many contracts are not performed as agreed by the parties. The conflicts which arise in this context will be discussed.

Objectives

Contracts are the main basis of every entrepreneurial activity. Therefore basic knowledge of Contract Law is very important in all fields of engineering and business administration. Students will learn the legal structures and requirements of different contract types, which are relevant to them. They will be able to estimate contractual design possibilities as well as the associated legal consequences. In case of difficulties within the performance of the contract students will be able to consult a lawyer and understand the lawyer’s advice.
